GENERAL TERMS AND CONDITIONS OF SALE

1. ACCEPTANCE– Our sales are subject to the following general terms and conditions, which may only be superseded by specific clauses agreed upon in writing and signed by us.

3. OFFERS– Our offers, as well as those of our representatives and agents, are valid for 30 days and are subject to the availability of goods.

5. PRICES– Unless otherwise stipulated, the prices applied are those of the latest price list in effect at the time of delivery. Our prices are exclusive of VAT. In the event of non-payment of the price within the agreed period, any discounts granted will be debited from the buyer.

7. OWNERSHIP– The goods remain the property of FASANO SRL until full payment of the price, even if these goods have been resold to a third party in the meantime.

9. TRANSPORT– Our goods, carefully packaged at the point of departure, travel under the sole responsibility of the buyer. In the event of damage, all reservations must be made with the carrier upon receipt of the goods.

11. INSURANCES– FASANO SRL reserves the right to automatically insure any delivered goods exceeding €1,500 excluding VAT and to pass on the cost of this insurance to the buyer. Below this amount, if no instruction has been given to FASANO SRL to insure the goods, FASANO SRL is authorized to assume that all risks related to transport have been insured by the buyer. When insurance has been taken out by FASANO SRL (even if the cost of this insurance is invoiced to the buyer) and damage occurs, the buyer assigns their rights of action against the responsible party to FASANO SRL.

13. CLAIMS– To be admissible, any claim must be submitted by registered letter within 8 calendar days of delivery. No dispute can be settled if no reservations have been made upon arrival of the goods in question. In the event of a dispute, if FASANO SRL has previously compensated its buyer, the latter subrogates FASANO SRL to its rights against the responsible party.

15. PAYMENT– Unless otherwise agreed in writing, our invoices are payable in cash to our address. Any sums whatsoever not paid within 10 days of receipt of the invoice will automatically accrue interest at a rate of 1.25% per month, without prior notice, with any partial month being due in full. Similarly, failure to pay any amount by its due date will render immediately payable all other amounts owed by the buyer to FASANO SRL. The issuance or disposal of a bill of exchange by the customer shall not, under any circumstances, constitute a novation or a waiver of our general terms and conditions of sale.

17. COMPENSATION– In addition to the late payment interest stipulated above, any amount remaining unpaid 10 days after its due date may, without prior notice, be increased by 20%, with a minimum of €60, as a fixed penalty. Failure to pay this compensation will also render all other outstanding invoices immediately due and payable. Any partial payment received will be applied first to the penalty clause, then to interest, and finally to the principal.

19. JURISDICTION–In the event of any dispute, the matter shall be subject to the exclusive jurisdiction of the Courts of Brussels and Belgian law, to the exclusion of all others.
