General conditions

ACCEPTANCE - Our sales are concluded under the general conditions below from which only specific clauses in writing and signed by us can derogate.

OFFERS - Our offers, as well as those of our representatives and agents, are valid for 30 days and are made subject to available goods.

PRICES - Unless otherwise stipulated, the prices applied are those of the last price in force at the time of delivery. Our prices are exclusive of VAT. In the event of non-payment of the price within the agreed period, any discounts granted will be debited by the purchaser.

OWNERSHIP - The goods remain the property of FASANO BV/SRL until full payment of the price, even if these goods have been resold to a third party in the meantime.

TRANSPORT - Our goods, carefully packaged on departure, travel under the sole responsibility of the buyer. In the event of damage, all reservations must be made with the carrier upon receipt of the goods.

INSURANCE - FASANO BV/SRL authorizes itself to automatically insure any delivered goods whose amount exceeds € 1,500 excluding VAT and to pass on the price of this insurance to the buyer. Below this amount, if no order to insure the goods has been given to FASANO BV/SRL, the latter is authorized to assume that all risks relating to transport have been insured by the buyer. When the insurance has been taken out by FASANO BV/SRL (even when the price of this insurance is invoiced to the buyer) and damage occurs, the buyer assigns his rights of action against the party responsible to FASANO BV/SRL .

COMPLAINTS - Any complaint, to be admissible, must be lodged by registered letter within 8 calendar days from the date of delivery. No dispute can be settled if no reservations have been made on the arrival of the goods concerned. In the event of a dispute, if FASANO BV/SRL has previously indemnified its buyer, the latter subrogates FASANO SRL in its rights towards the party responsible.

PAYMENT - Unless otherwise agreed in writing, our invoices are payable in cash and to our address. All sums generally of any kind and not paid more within 10 days of receipt of the invoice will automatically and without prior notice bear interest of 1.25% per month, any month started being due in full. Likewise, the non-payment of an amount on its due date immediately makes all other amounts payable by the buyer to FASANO BV/SRL. The fact of having or issuing a draft on the customer can not, under any circumstances, constitute a novation or derogation from our general conditions of sale.

INDEMNITIES - In addition to the late payment interest stipulated above, any amount remaining unpaid within 10 days of its due date may, without prior notice, be increased by 20%, with a minimum of € 60, as a lump sum indemnity. . Any failure to pay these indemnities will also immediately make any other outstanding invoice payable. Any partial payment received will be charged first to the penalty clause, then to interest, then finally to the principal.

JURISDICTION - In the event of a dispute of any kind, the dispute will be subject to the exclusive jurisdiction of the Courts of Brussels and to Belgian law, to the exclusion of any other.
